Terms of Service
1. Acceptance of Terms
By accessing or using MatchsticksPuzzle.com ("the Service"), operated by Premier Code, Inc., a Texas corporation ("we," "us," "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, do not use the Service.
By creating an account, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy.
2. Account Responsibilities
- You must be at least 13 years old to create an account.
- You must provide accurate and complete information during registration.
- You are solely responsible for maintaining the confidentiality of your password and for all activity under your account.
- You must notify us immediately of any unauthorized use of your account.
- You may not create multiple accounts, share your account credentials, or use another person's account.
3. Permitted Use and Prohibited Conduct
The Service is provided for personal, non-commercial puzzle gameplay. You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law.
- Attempt to manipulate leaderboards, scores, streaks, or gameplay results through automated means, bots, scripts, or exploits.
- Interfere with, disrupt, or place an undue burden on the Service or its infrastructure.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Scrape, harvest, or collect data from the Service without prior written permission.
- Impersonate another user or misrepresent your identity or affiliation.
- Upload or transmit malicious code, viruses, or any other harmful material.
- Circumvent any access control, authentication, or security measures.
4. Subscriptions, Billing, and Refunds
The core puzzle game is free. If we introduce paid features (premium subscriptions, puzzle packs, or educational licenses) in the future, the following will apply:
- Paid subscriptions will auto-renew unless cancelled before the renewal date.
- You may cancel at any time through your account settings; access continues until the end of the current billing period.
- Refunds are handled on a case-by-case basis. Contact us within 7 days of a charge for refund consideration.
- Prices may change with 30 days' notice. Price changes do not affect the current billing period.
- We reserve the right to modify or discontinue paid features with reasonable notice.
5. Intellectual Property
All content on the Service — including puzzles, puzzle designs, algorithms, source code, visual designs, trademarks, logos, and documentation — is the exclusive property of Premier Code, Inc. and is protected by United States and international copyright, trademark, and intellectual property laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any content from the Service without our prior written consent.
6. User Content
By submitting content through the Service (including contact form messages, bug reports, comments, and any future user-generated puzzles), you grant Premier Code, Inc. a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, distribute, and display that content for the purpose of operating and improving the Service.
You represent that you own or have the necessary rights to submit any content and that your content does not infringe on any third party's rights.
7. Termination
- You may delete your account at any time by contacting us via the contact form.
- We may suspend or terminate your account at our sole discretion, with or without notice, for conduct that we determine violates these Terms, is harmful to other users, or is otherwise objectionable.
- Upon termination, your right to use the Service immediately ceases. We may delete your account data in accordance with our Privacy Policy.
- Sections that by their nature should survive termination (including Intellectual Property, Limitation of Liability, and Indemnification) will survive.
8. Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PREMIER CODE, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
10. Indemnification
You agree to indemnify, defend, and hold harmless Premier Code, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
11. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.
Any dispute arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in Texas. You consent to the personal jurisdiction of such courts.
12. Changes to These Terms
We may modify these Terms at any time. When we make material changes, we will:
- Update the version number and "Last updated" date at the top of this page.
- Notify registered users via email at least 14 days before the changes take effect.
- For critical changes affecting user rights, require re-acceptance upon next login.
Your continued use of the Service after the effective date constitutes acceptance of the modified Terms.
